Welcome to Click Reign Internet Media (“we,” “us,” or “our”). We are a digital marketing agency dedicated to helping local businesses grow through tailored marketing solutions. By engaging with our services, you (“Client,” “you,” or “your”) agree to be bound by the following Terms and Services (“Terms”). Please read these Terms carefully before using our services. If you do not agree to these Terms, you may not use our services.
1. Services
Click Reign provides digital marketing services, including but not limited to:
  • Search Engine Optimization (SEO)
  • Pay-Per-Click (PPC) Advertising
  • Social Media Management
  • Website Design and Development
  • Content Creation
  • Email Marketing
  • Local Business Listings Management
The specific services provided to you will be outlined in a separate Service Agreement or proposal (“Agreement”) signed by both parties. The Agreement will detail the scope of work, deliverables, timelines, and pricing.
2. Client Responsibilities
To ensure the success of our services, you agree to:
  • Provide accurate and complete information about your business, including access to relevant accounts (e.g., Google Business Profile, social media, website hosting).
  • Respond promptly to requests for feedback, approvals, or additional information.
  • Comply with all applicable laws, regulations, and third-party terms (e.g., Google Ads policies, social media platform rules).
  • Maintain ownership and responsibility for any content, images, or materials you provide to us.
Failure to meet these responsibilities may impact the quality or timeline of our services, and Click Reign will not be held liable for delays or issues arising from such failures.
3. Fees and Payment
  • Pricing: Fees for services will be outlined in the Agreement. All prices are in [Currency, e.g., USD] and exclude applicable taxes unless otherwise stated.
  • Payment Terms: Payments are due as specified in the Agreement (e.g., monthly, upfront, or upon completion). Invoices are due within 10 days of receipt unless otherwise agreed.
  • Late Payments: Late payments may incur a fee of 2% per month on the outstanding balance or the maximum allowed by law, whichever is lower. We reserve the right to suspend services for non-payment.
  • Refunds: Services are non-refundable once work has commenced, except as outlined in the Agreement or required by law.
4. Term and Termination
  • Term: The duration of our services will be specified in the Agreement.
  • Termination by Client: You may terminate the Agreement with 15 days’ written notice, subject to any minimum commitment terms outlined in the Agreement. Fees for work completed prior to termination will still apply.
  • Termination by Click Reign Internet Media: We may terminate the Agreement immediately if you breach these Terms, fail to make payments, or engage in illegal or unethical activities.
  • Effect of Termination: Upon termination, all unpaid fees become due immediately, and we will cease providing services. Any deliverables completed up to the termination date will be provided to you.
5. Intellectual Property
  • Our Work: We retain ownership of all proprietary tools, templates, and intellectual property used to deliver our services. Upon full payment, you are granted a non-exclusive, perpetual license to use the deliverables (e.g., website designs, content) for your business purposes.
  • Your Materials: You grant us a non-exclusive, royalty-free license to use any materials you provide (e.g., logos, images) solely for the purpose of delivering our services.
  • Third-Party Tools: Some services may involve third-party platforms or tools (e.g., WordPress, Google Ads). You are responsible for complying with their terms and any associated costs.
6. Confidentiality
We will treat all non-public information you provide as confidential and use it solely to perform our services. This obligation does not apply to information that becomes publicly available through no fault of ours, is independently developed by us, or is required to be disclosed by law.
7. Performance and Guarantees
We strive to deliver high-quality services and measurable results, but we do not guarantee specific outcomes (e.g., #1 Google ranking, exact sales figures) due to factors beyond our control, such as search engine algorithms, market conditions, or your business practices. Any performance metrics provided are estimates based on historical data and industry standards.
8. Limitation of Liability
To the fullest extent permitted by law, Click Reign shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, arising from our services. Our total liability shall not exceed the fees paid by you for the specific service giving rise to the claim.
9. Indemnification
You agree to indemnify and hold Click Reign, its employees, and affiliates harmless from any claims, damages, or losses arising from your use of our services, your provided materials, or your violation of these Terms or applicable laws.
10. Force Majeure
We are not liable for delays or failure to perform due to events beyond our reasonable control, including natural disasters, internet outages, or third-party service interruptions.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of The United States Of America. Any disputes arising from these Terms will be resolved in the courts of your local jurisdiction.
12. Changes to Terms
We may update these Terms from time to time. The most current version will be posted on our website with the “Last Updated” date. Continued use of our services after changes constitutes acceptance of the revised Terms.
